Risk Disclosure
Important information for investors in Enlightenment Capital Investment Management Limited (SFC Type 9 License: BUI941) and its funds, including the Enlightenment Frontier Healthcare Fund LPF and the Enlightenment Frontier Opportunities OFC.
General Risk Warning
Investment involves risks. The value of investments and the income from them may go down as well as up, and investors may not get back the amount invested. Past performance is not indicative of future results.
Nothing on this website constitutes an offer, solicitation, or recommendation to buy or sell any security, fund, or other financial product. Any investment decision should be made only after reading the relevant offering documents and, where appropriate, seeking independent professional advice.
Key Risk Factors
The following risk factors are not exhaustive. Different funds and sub-funds carry different risk profiles, and additional risks may apply. Investors should carefully consider whether a fund is suitable for them.
Market Risk
The value of assets may be affected by changes in market conditions, economic cycles, interest rates, exchange rates, and investor sentiment, which may cause the fund to incur losses.
Credit Risk
Issuers of bonds or other debt instruments in which a fund invests may default or suffer credit deterioration, potentially resulting in loss of interest and principal.
Liquidity Risk
Certain investments may be difficult to sell or value, particularly during market stress. The fund may be unable to exit positions at favourable prices or in a timely manner.
Interest Rate Risk
Fixed-income investments are sensitive to changes in interest rates. Rising rates generally reduce the value of existing bonds and can impact overall fund performance.
Foreign Exchange Risk
Investments denominated in foreign currencies are subject to exchange rate fluctuations, which may affect the fund's returns when converted back to its base currency.
Concentration Risk
Where a fund concentrates its investments in particular sectors, regions, or themes (such as frontier technology and healthcare), adverse developments in those areas may have a proportionally greater impact on the fund.
Valuation Risk
Some assets, particularly unlisted securities, may not have readily available market prices. Valuations may involve significant judgement and estimation, and final realisable values may differ materially.
Private Equity / LPF Specific Risks
Investments in a Limited Partnership Fund (LPF), such as the Enlightenment Frontier Healthcare Fund LPF, carry additional specific risks:
- Long lock-up periods — capital may be committed for many years and generally cannot be withdrawn before the agreed investment horizon.
- Illiquidity — there is no liquid secondary market for limited partnership interests, and investors may not be able to sell or transfer their interests readily.
- Full capital loss — investors may lose all or a substantial part of their investment, including commitments that have been drawn down but not yet returned.
- Reliance on the manager — performance depends significantly on the skills and judgement of the investment manager and its team.
- Leverage and structural risk — the use of leverage or complex structures may magnify both gains and losses.
OFC / Sub-Fund Specific Risks
The Enlightenment Frontier Opportunities OFC operates through three differentiated sub-funds. Each sub-fund has its own risk profile and objectives:
- Sub-fund I (EF High Yield Fund) targets low-risk assets but is still subject to credit, interest rate, and liquidity risks.
- Sub-fund II (EF Opportunities Fund) pursues structural market opportunities (including IPOs, block trades, and private placements) and carries higher volatility and event risk.
- Sub-fund III (EF Multi-Asset Fund) focuses on high-risk, low-liquidity private equity and carries a substantial risk of capital loss.
- Sub-funds are separate from one another, but investors should be aware that an investment in any sub-fund involves risk up to the full amount invested.
